CapTheorem is a vertical AI platform for private-equity and private-credit investors — the kind of domain software Harvey AI is for law firms. It takes the judgment-intensive work a deal team does by hand across dozens of PDFs, models, and threads — screening, diligence, structuring, and investment-committee prep — and keeps it in one place, connected. The materials, the diligence they trigger, the structuring built on them, and the IC brief that cites them all hang off one deal, with every figure and finding traced back to its source.

What it does

  • Deal workspace. Pull a deal’s materials — CIMs, financial models, legal documents — into one workspace, organized and ready for the team.
  • Evidence-linked diligence. Reads the actual materials and proposes diligence requests tied to specific files and pages — what to ask now, what to defer — instead of a static checklist.
  • Structuring & returns. Ingests the operating forecast and models the investor’s side on top of it — capital structure, returns, and downside protection — without replacing the analyst’s model.
  • IC brief. Drafts the investment-committee brief with citations, and tracks the open questions through to a decision.
  • Pre-LOI legal review. Reviews NDAs, IOIs, and LOIs against standard positions — a first pass before counsel is engaged.
